Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and RebelMouse, Inc. ("RebelMouse," "we," "us," or "our") governing your access to and use of RebelMouse's AI-powered products and services, including features branded as "RebelMouse.ai" (collectively, the "Services").

By accessing or using the Services, you:

• Acknowledge that you have read and understood these Terms;
• Agree to be bound by these Terms;
• Agree to our Privacy Policy; and
• Agree to comply with all applicable laws and regulations.

If you use the Services on behalf of an organization, you represent that you have authority to bind that entity.

We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

1. Definitions

• "Platform" means RebelMouse's software platform, including AI-powered tools for content creation, automation, and digital experience management.
• "Services" means the Platform and all related tools, APIs, AI features, integrations, and support.
• "AI Services" means features that generate outputs using artificial intelligence models.
• "AI Output" means any content, code, or material generated by AI Services.
• "Customer Data" means any data, prompts, content, or materials you submit or generate.
• "Usage Data" means technical and operational data derived from use of the Services.
• "Third-Party Providers" means infrastructure providers and AI model providers used to deliver the Services.
• "Credits" means prepaid or allocated usage units where applicable.

2. License Grant

RebelMouse grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business or personal use.

All rights not expressly granted are reserved by RebelMouse.

3. Acceptable Use

You agree not to:

• Reverse engineer, copy, or exploit the Services;
• Build competing AI systems using the Services;
• Use automated tools (bots, scrapers) without authorization;
• Upload malicious code or disrupt systems;
• Violate laws or third-party rights;
• Use AI Output in misleading or harmful ways;
• Rely on AI Output for high-risk decisions (legal, medical, financial) without validation;
• Attempt to extract models, training data, or system logic.

You are fully responsible for your use of the Services and outputs.

4. AI Services Disclaimer

The Services use artificial intelligence, including third-party models.

You acknowledge:

• AI Output may be inaccurate, incomplete, or biased;
• AI Output may not be unique;
• Outputs may depend on third-party systems beyond our control;
• You must independently review and validate all outputs.

RebelMouse is not responsible for any decisions, damages, or outcomes resulting from use of AI Output.

5. Customer Data and Data Rights

Ownership

You retain ownership of Customer Data.

License to RebelMouse

You grant RebelMouse a worldwide, royalty-free license to use Customer Data to:

• Operate and maintain the Services;
• Improve performance and features;
• Develop and improve AI systems (unless otherwise agreed in writing).

Data Processing

Customer Data may be processed by:

• RebelMouse systems;
• Third-party infrastructure providers;
• AI model providers necessary to generate outputs.

Sensitive Data Restriction

You agree not to submit sensitive personal data (e.g., health data, financial account numbers, government IDs). Use of such data is at your own risk.

Usage Data

RebelMouse owns Usage Data and may use it for analytics, benchmarking, and product improvement.

6. Accounts and Security

You must:

• Be at least 18 years old;
• Provide accurate information;
• Maintain account confidentiality.

You are responsible for all activity under your account.

7. Billing, Credits, and Payments

• Services may be offered on subscription or usage-based pricing;
• Credits are prepaid, non-refundable, and non-redeemable;
• We may modify pricing with notice;
• Payment processors (e.g., Stripe) handle billing, and their records are authoritative.

Unused credits may expire according to applicable plan terms.

8. Service Availability and Dependencies

The Services depend on third-party providers (including cloud infrastructure and AI systems).

We do not guarantee:

• Continuous availability;
• Error-free performance;
• Accuracy of outputs.

We are not liable for outages, delays, or failures caused by third parties or events beyond our control.

9. Suspension and Termination

We may suspend or terminate access if you:

• Violate these Terms;
• Engage in unlawful or abusive behavior;
• Create legal or operational risk.

You may stop using the Services at any time.

Upon termination:

• Access ends immediately;
• Certain provisions survive (IP, liability, indemnification, etc.);
• Credits may be forfeited where applicable.

10. Intellectual Property

Our Rights

RebelMouse owns all rights in the Services, including software, models, algorithms, and related technology.

Your Rights

You retain ownership of your Customer Data and AI Output, subject to third-party rights and these Terms.

Feedback

We may use any feedback you provide without restriction or compensation.

11. Indemnification

You agree to indemnify and hold harmless RebelMouse from any claims arising from:

• Your use of the Services;
• Your Customer Data;
• Your violation of these Terms or applicable law.

12. Disclaimers

THE SERVICES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT.

We do not guarantee accuracy, reliability, or suitability.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• RebelMouse is not liable for indirect or consequential damages;
• This includes loss of data, revenue, or business;
• Total liability is limited to the amount paid by you in the prior 12 months (or $100 if none).

14. Governing Law

These Terms are governed by the laws of the State of New York.

All disputes will be resolved in courts located in New York County, New York.
